If you held Falcon Capital Acquisition Corp. Class A Common Stock immediately following June 25, 2021, and did not redeem your shares, you may be eligible to claim a portion of an $11.5 million class action settlement.
Falcon Equity Investors LLC has agreed to pay this amount to settle a class action lawsuit for alleged breaches of fiduciary duties related to the merger with Sharecare, Inc.
Who are the class members?
Class members include all record and beneficial holders of FCAC Class A Common Stock who:
- Held shares immediately following the Redemption Deadline on June 25, 2021.
- Had the right to redeem shares but did not exercise this right.
How much can class members get?
Class members can claim a pro rata share of the Net Settlement Fund, calculated based on their Recognized Loss.
The Recognized Loss is determined by:
- Shares sold below $10.00 after June 25, 2021: Loss is $10.00 minus the sale price.
- Shares held as of October 21, 2024: Loss is $8.57 per share.
The Net Settlement Fund will be distributed based on each member's Recognized Loss relative to the total Recognized Loss of all members.
For example, if a class member sold 100 shares at $9.50, the Recognized Loss would be $50.00 (100 shares x ($10.00 - $9.50)). If they held 100 shares as of October 21, 2024, the Recognized Loss would be $857.00 (100 shares x $8.57).

$11.5 Million settlement fund
The settlement fund of $11,500,000 will cover:

When is the Sharecare Stockholder Settlement payout date?
The Court will hold a Fairness Hearing on January 21, 2025, to consider the Settlement's approval. If approved, payments will follow after resolving any appeals.
Why was there a class action settlement?
The lawsuit alleged that Defendants breached fiduciary duties by impairing stockholders' redemption and voting decisions, partly by providing misleading information in the merger proxy statement.
