If you purchased or otherwise acquired Uber's publicly traded common stock pursuant to the Offering Documents for Uber's IPO and suffered damages, you may be eligible to claim a portion of a $200,000,000 from a class action settlement.

Uber Technologies, Inc. has agreed to pay $200,000,000 to settle a class action lawsuit for alleged violations of the Securities Act, including claims that Uber's IPO documents contained false or misleading statements.

Who can file a claim?

To be eligible to file a claim, you must meet the following criteria:

  • Purchased or otherwise acquired Uber's publicly traded common stock pursuant to the Offering Documents for Uber's IPO.
  • Acquired shares during the Traceability Period from May 10, 2019, through November 5, 2019.
  • Incurred losses by the acquisition of these shares.

How much can class members get?

The average recovery is estimated to be approximately $0.17 per eligible share before deductions for fees and expenses, and approximately $0.12 per eligible share after such deductions. The actual amount each class member receives will depend on several factors, including the number of shares purchased and sold, and the timing of these transactions.

  • Purchases from May 10, 2019, through September 25, 2019: The Recognized Loss Amount will be calculated based on the purchase price minus the sale price or the closing share price on October 4, 2019, whichever is applicable.
  • Purchases from September 26, 2019, through November 5, 2019: The Recognized Loss Amount will be calculated similarly but will be subject to a 95% discount due to potential knowledge of the alleged misstatements.

The award amount is subject to a net settlement fund calculation, and the distribution will be made on a pro rata basis. For example, if the net settlement fund is $150,000,000 and the total recognized claims amount to $200,000,000, each claimant would receive 75% of their recognized claim.
