PureCycle Technologies, Inc. has agreed to pay $12,000,000 to settle a class action lawsuit for alleged misrepresentations and omissions of material fact in public statements regarding their recycling process and management's prior business experience.
Can I Claim an Award?
The Settlement Class includes all persons or entities who purchased or otherwise acquired PureCycle Securities between November 16, 2020, and November 10, 2021, inclusive. This includes common stock, warrants, and options. If you fall into this category, you are considered a Settlement Class Member and may be eligible for a payment from the Settlement Fund.
To be eligible, you must have:
- Purchased or otherwise acquired PureCycle Securities during the Class Period.
- Held the securities through the first date on which corrective information was released to the market.
What Awards Can Class Members Claim?
The proposed Settlement provides that Defendants will cause $12,000,000 to be paid into a settlement fund. This amount will be distributed among Settlement Class Members who submit timely, valid claims, according to the Plan of Allocation.
The average recovery is estimated to be:
- $0.32 per share of PureCycle common stock
- $0.29 per warrant
- $0.04 per call option
- $0.05 per put option
The actual recovery will depend on the aggregate losses of all Settlement Class Members, the dates of purchase and sale, and the total number of claims filed. The Net Settlement Fund will be distributed on a pro-rata basis, meaning each Authorized Claimant will receive a portion of the fund proportional to their Recognized Loss.
Calculation Example
If you purchased 100 shares of PureCycle common stock at $10 each and sold them at $8 each after the corrective information was released, your Recognized Loss would be calculated as follows:
- Purchase price: 100 shares x $10 = $1,000
- Sale price: 100 shares x $8 = $800
- Recognized Loss: $1,000 - $800 = $200
If the total Recognized Losses of all claimants amount to $10,000,000 and the Net Settlement Fund is $8,000,000, your pro-rata share would be:
- Pro-rata share: $200 / $10,000,000 x $8,000,000 = $160

Yes, claimants need to provide proof to claim an award. You must submit a valid Proof of Claim form, along with supporting documents such as stockbroker's confirmation slips, stockbroker's statements, or other documents evidencing each purchase and sale of PureCycle Securities.

How do I Get Paid?

- Attorneys' fees: Up to $4,000,000
- Litigation expenses: Up to $400,000
- Compensatory awards to Lead Plaintiffs: Up to $60,000
