If you purchased or acquired Alphabet Class A and/or Class C stock between April 23, 2018, and April 30, 2019, you may be eligible to claim a portion of the $350,000,000 from a class action settlement.

Alphabet, Inc. had agreed to pay $350,000,000 to settle a class action lawsuit for alleged violations of federal securities laws, specifically related to material misstatements or omissions.

As of September 30, 2024, the Court granted final approval of the settlement, paving the way for class members to get compensated.

Who is getting a payout?

The class members were those who purchased or acquired Alphabet Class A and/or Class C stock during the period from April 23, 2018, through April 30, 2019.

How much are the payouts?

Estimated payouts are $3.27 per Class A share & $2.85 per Class C share.

The settlement fund will be distributed after deductions for taxes, fees, and expenses. The exact amount each class member will receive depends on the total number of valid claims filed and the value of each claim.

Class members will receive a pro rata share of the Net Settlement Fund based on their recognized loss amount, calculated according to the Plan of Allocation. This means that the distribution will be proportional to the losses incurred by each claimant relative to the total losses claimed by all class members.

Recognized Loss Amount: Calculated based on the purchase/acquisition price and sale price of Alphabet stock during the class period.

For example, if the Net Settlement Fund is $289,300,000 and the total recognized losses of all claimants amount to $500,000,000, a claimant with a recognized loss of $10,000 would receive approximately $5,786 (calculated as $289,300,000 / $500,000,000 \* $10,000).

Is proof required to submit a claim?

Yes, claimants need to provide documentation to support their transactions of Alphabet Class A and/or Class C stock. Documentation may include brokerage confirmation slips, monthly brokerage account statements, or an authorized statement from your broker.

$350 Million settlement fund

The settlement fund of $350,000,000 will cover payments to class members, attorneys' fees, and administrative costs.

  • Attorneys' Fees: $66,500,000
  • Litigation Costs: $1,540,059.57
  • Remaining for Class Members: Approximately $289,300,000

When is the Alphabet Securities Settlement payout date?

The claims administrator is estimating claims will be processed within the next 9 to 12 months. The complexity of the claims process for this case is a major factor. An additional, arguably more significant factor, is resolving any appeals to the final approval of the settlement. Claims cannot be sent until all appeals are resolved.

Why was there a settlement?

The class action lawsuit alleged that Alphabet, Inc. violated federal securities laws by making material misstatements or omissions. The parties agreed to settle to avoid the risks and costs of continued litigation.
