This includes anyone who purchased or acquired Adamas stock during this period and held the stock through at least one of the corrective disclosure dates: October 5, 2018, November 2, 2018, or March 5, 2019.
How much can class members get?
The average recovery per eligible share is approximately $0.27 before deductions for court-approved fees, expenses, and costs.
The amount each class member can receive depends on several factors, including the number of shares purchased, the dates of purchase and sale, and the total number of valid claims submitted.
The Net Settlement Fund will be distributed to class members based on a plan of allocation, which considers the price declines observed during the corrective disclosure dates.
The recognized loss amount will be calculated for each purchase or acquisition of Adamas stock during the Settlement Class Period:
- For shares sold before October 5, 2018, the recognized loss amount is $0.00.
- For shares sold between October 5, 2018, and March 4, 2019, the recognized loss amount is the lesser of the amount of per-share price inflation on the date of purchase minus the amount of per-share price inflation on the date of sale, or the purchase price minus the sale price.
- For shares sold between March 5, 2019, and May 31, 2019, the recognized loss amount is the lesser of the amount of per-share price inflation on the date of purchase, the purchase price minus the sale price, or the purchase price minus the “90-Day Lookback Value” on the date of sale.
- For shares held as of the close of trading on May 31, 2019, the recognized loss amount is the lesser of the amount of per-share price inflation on the date of purchase or the purchase price minus the average closing price for Adamas common stock during the 90-Day Lookback Period, which is $6.55.
