If you purchased or acquired Bioventus Class A common stock between February 11, 2021, and November 21, 2022, you may be eligible to claim a portion of a class action settlement.
Bioventus Inc. has agreed to pay $15,250,000 to settle a class action lawsuit for alleged violations of federal securities laws, specifically related to misleading statements and omissions about their financial reporting and internal controls.
Who can file a claim?
To be eligible to file a claim, you must have:
- Purchased or acquired Bioventus Class A common stock between February 11, 2021, and November 21, 2022
- Suffered loss
How much can class members get?
The settlement fund of $15,250,000 will be distributed among eligible class members. The exact amount each member will receive depends on several factors, including the number of valid claims submitted and the total number of shares involved.
The calculation for individual awards is based on the Recognized Loss Amount, which considers the difference between the artificial inflation of stock prices at purchase and sale times.
Here's how the calculation works:
- Calculate the difference in artificial inflation per share at purchase and sale dates.
- Subtract the sale price from the purchase price, excluding fees and commissions.
If the total of Recognized Claims exceeds the Net Settlement Fund, each claimant will receive a pro rata share. For example, if the Net Settlement Fund is $10,000,000 and the total Recognized Claims are $20,000,000, each claimant would receive 50% of their Recognized Claim.
What documentation is needed to file a claim?
Claimants need to provide proof of their transactions in Bioventus Class A common stock:
